1. Scope of Services

Tech Talent Collective provides custom software development services, including but not limited to:

• Web application development
• Mobile application development
• UI/UX design
• API development and system integration
• Ongoing maintenance and support

All services are subject to these Terms and any project-specific agreement signed with the client.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. If you are accessing our Services on behalf of a company or other legal entity, you represent that you have the authority to bind such entity.

3. Engagement Process

Clients may engage our services through direct inquiry, quotation, or proposal acceptance. Once a proposal or agreement is signed, the project will begin as per the agreed timeline and scope.

Clients are expected to:

• Provide clear and timely communication
• Supply necessary content and materials
• Review deliverables and provide feedback promptly
• Adhere to payment schedules

4. Intellectual Property

a. Our IP

All content, tools, methods, processes, and technologies developed by Tech Talent Collective remain our intellectual property unless expressly transferred by written agreement.

b. Client IP

All content provided by the client remains the property of the client. We claim no rights over client-provided assets or trademarks.

c. Deliverables

Upon full payment, ownership of project deliverables will be transferred to the client unless otherwise stated.

5. Confidentiality

Both parties agree to keep all confidential information shared during the project strictly confidential. This includes project details, business strategies, and proprietary code.

6. Payment Terms

Clients agree to the fees, milestones, and payment schedules outlined in the project agreement or invoice. We reserve the right to suspend services if payments are delayed.

All payments are due in the agreed currency and method. Late payments may incur a penalty or interest as defined in the project agreement.

7. Cancellations & Refunds

If a project is canceled by the client after work has begun, Tech Talent Collective reserves the right to retain payment for work completed to date. Refunds will be issued only for the unrendered portion of services, subject to our discretion.

8. Warranties and Disclaimers

We provide our Services "as-is" and do not guarantee specific results unless stated in a contract. We do not warrant that:

• The services will be error-free or uninterrupted
• The code will be completely secure or free of vulnerabilities
• Client expectations will be fully met without clear specifications

9. Limitation of Liability

To the fullest extent permitted by law, Tech Talent Collective will not be liable for any indirect, incidental, special, or consequential damages arising out of or related to the use of our Services.

Our total liability for any claim will not exceed the total amount paid to us for the services giving rise to the claim.

10. Termination

We may terminate or suspend access to our Services at any time, with or without cause, and with or without notice. You may terminate our engagement at any time by written notice and by paying all outstanding fees.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Indonesia. Any disputes arising shall be subject to the exclusive jurisdiction of the courts in Indonesia.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Updated versions will be posted on our website, and continued use of our Services constitutes acceptance of the revised Terms.
